Competition Council Reviews Telekom Romania Mobile Takeover by media owner, Digi Romania

The Competition Council is analyzing the transaction through which Gheorghe Adrian Tomșa intends to take over Telekom Romania Mobile Communications SA, less a series of assets that will be taken over by Digi Romania SA.

Gheorghe Adrian Tomșa controls the Clever Media group, which operates in Romania mainly in the field of broadcasting television programs, telecommunications activities through electronic communication networks, the assignment of TV broadcast rights for sports competitions, the sale of the retransmission rights of its own channels to the major operators of in the market and TV and online advertising.

Digi Romania SA is a Romanian telecommunications operator that provides electronic communications services, providing retail and wholesale services, mobile and fixed telephony, voice and data services, connectivity services, as well as cable or satellite TV services in Romania, Spain, Italy and Portugal.

The assets of Telekom Romania Mobile Communications SA that Digi Romania SA intends to take over consist of the spectrum, the entire radio network with all towers and equipment and contracts with pre-paid customers.

Telekom Romania Mobile Communications SA, which is part of the Deutsche Telekom group, deals with telecommunications activities via wireless networks (exclusively via satellite).

According to the provisions of the Competition Law (no. 21/1996), this operation must be analyzed by the Competition Council, which will evaluate it in order to establish compatibility with a normal competitive environment and will issue a decision within the terms provided by law
