Competition Council Reviews Vodafone and Digi’s Acquisition of Telekom

The Competition Council is analyzing the transactions through which Vodafone Romania S.A. intends to take over Telekom Romania Mobile Communications S.A., and Digi Romania S.A. will take over certain assets of the same company.

The assets of Telekom Romania Mobile Communications SA that Digi Romania SA intends to take over consist of the rights to use certain radio frequencies, part of their towers, infrastructure and equipment, as well as pre-paid contracts concluded with its customers. Vodafone Romania S.A. is a provider of mobile and fixed telecommunications services in Romania, part of the Vodafone Group, owned by Vodafone Group Plc.

The Vodafone Group operates in several jurisdictions in the EU and outside the EU. Digi Romania S.A. is a Romanian telecommunications operator that provides a full range of electronic communications services, providing retail and wholesale services, mobile and fixed telephony, voice and data services, connectivity services, as well as cable or satellite TV services in Romania, Spain, Italy and Portugal.

Telekom Romania Mobile Communications S.A. is part of the Deutsche Telekom group and mainly offers mobile telecommunications services.

“In accordance with the provisions of the Competition Law (no. 21/1996), these operations must be authorized by the Competition Council, which will assess them in order to establish their compatibility with a normal competitive environment and will issue decisions within the deadlines provided by law,” states a press release by the relevant authority.
