AROBS Transilvania Software announces the complete acquisition of Infobest group, specialized in the development of customized software solutions, with offices in Timisoara and Leverkusen, Germany.
“We are glad to announce our 10th M&A transaction after the listing of AROBS shares on the Bucharest Stock Exchange, a significant milestone that underlines our commitment to the strategic growth of the group and the consolidation of our presence locally and internationally. We were driven to complete this transaction considering the great prospects of Infobest and our objective to strengthen our position in Germany and in the larger DACH region. Through this strategic move, we are expanding both our technology capabilities and our clients’ portfolio, to whom we will continue to provide complex software solutions for an increasingly sophisticated technology market. Together we will achieve more, building on our strong synergies in automotive and telecom.” stated Voicu Oprean, founder and CEO of AROBS.
Infobest was founded in 1995 in Pulheim, Germany, by entrepreneurs Yvonne Abstoss-Becker and Christian Becker, and in 2000, the company opened an office in Timisoara. Currently, Infobest has a team of over 100 specialists in the development of customized software solutions for the e-commerce, manufacturing, automotive, telecommunications, finance, media, and communications industries, covering the entire life cycle of an application – from business analysis, architecture, and UX design to development, testing, and maintenance. Infobest has a strong presence on the DACH market with many long-term clients ranging from mid-size companies to multinational corporations, including Automotive, Telecom, Manufacturing global market leaders.
Regarding the motivation for joining AROBS, Christian Becker, co-founder of Infobest, explained: “We are delighted to join AROBS Group and to have the partner to take Infobest to the next level. Based on very successful past years with continuous revenue growth, we decided to join AROBS Group, overcome the limitations of organic growth and to develop the business at an accelerated pace.”
The company will continue to be managed by Christian Becker and Yvonne Abstoss-Becker. The financial results of Infobest will be included in the consolidated financial statements of AROBS when the deal is closed. The closing of the deal is connected to the fulfilment of certain conditions and following the regulatory approvals. For 2023, Infobest group estimates a turnover of approximately EUR 4.8 million.
“Having talked to several potential investors, we immediately felt comfortable when discussing with AROBS and Voicu. While sharing the same fundamental values regarding people management and stable, long-term client relationships, both our skill portfolios and customer bases are complementary, which offers great opportunities for synergies and exceptional joint business development. We get the backup of a skill base much larger than ours, which we can well combine with our existing business development efforts. Although ownership of Infobest changes, both Christian and myself will remain in the company for the foreseeable future to assist the transition and put the synergy to work,” added Yvonne-Abstoss Becker, co-founder of Infobest.
By acquiring Infobest, AROBS consolidates its presence in the Romanian and German markets, its expertise in the Software Services business line, and accesses new industries, such as telecommunications, media, and communication. This is the tenth transaction carried out by AROBS since the closing of the private placement in October 2021. During this period, AROBS acquired Berg Software, AROBS Engineering (former Enea Software Development Services Romania business line), Nordlogic group, Centrul de Soft GPS Romania, AROBS Pannonia, two entities from the Republic of Moldova, AROBS Software and AROBS TrackGPS, AROBS Polska (formerly SYDERAL Polska from Poland), and Future WorkForce Group (FWF).
On behalf of AROBS, the transaction was facilitated by the law firm Radu Taracila Padurari Retevoescu (RTPR) as legal advisor and TS Partners for financial due diligence. Infobest was assisted by Clairfield International GmbH and PPR & Partner Pape Rauh Rechtsanwälte Part GmbB.
