Competition Council Approves Guala Closures’ Acquisition of Astir

The Competition Council has authorized the transaction through which Guala Closures S.p.A., Italy, intends to acquire Astir Vitogiannis Bros. S.A., Greece, including its subsidiary, Coleus Packaging Proprietary Limited, South Africa.

Guala Closures S.p.A., Italy, part of the Investindustrial S.A. group, operates in the production and supply of caps for beverages made from various materials, including recyclable materials for spirits, wine, oil and vinegar, water, and other drinks. Guala Closures S.p.A. products are also distributed in Romania.

Astir Vitogiannis Bros. S.A., Greece, is a manufacturer and distributor of crown caps. The company owns a production facility in Greece, and its products are distributed across Europe, including Romania, and internationally.

Coleus Packaging Proprietary Limited, South Africa, controlled by Astir Closures S.p.A., specializes in the manufacturing of crown caps. The distribution and sale of its products are entirely conducted on the African continent.

“Following its analysis, the Competition Council concluded that this transaction does not pose significant obstacles to effective competition in the Romanian market or a substantial part of it, and there are no serious doubts regarding its compatibility with a normal competitive environment.

The decision will be published on the National Competition Authority’s website after the removal of any confidential information”, says a Competition Council press release.
