Hidroelectrica acquires the Uzina Constructoare de Mașini Reșița

Hidroelectrica signed today the framework agreement for the business transfer from Uzina Constructoare de Mașini Reșița (UCMR) to the company, informs a press release issued by Hidroelectrica.

The transaction aims to secure UCMR’s asset base, unique in Southeastern Europe and crucial for streamlining Hidroelectrica’s maintenance and modernization activities. The Business Transfer includes taking over the ABC industrial production platform, partial acquisition of the Câlnicel production platform, integration of UCMR specialists in design, technology, and execution, assimilation of know-how related to projects along with documentation from UCMR’s archive, as well as acquiring assets/equipment with machinery and tools necessary for manufacturing new, complex equipment or for repairs and retechnologization of existing equipment in operation.

The transaction is historically significant as it will allow Hidroelectrica to have both the equipment and know-how in its portfolio necessary for implementing the investment program. Combining UCMR’s design and equipment production capabilities with Hidroserv’s assembly and maintenance capacities will have a direct positive impact on cost control and the duration of modernization, retechnologization, and maintenance works.

“The initialing of the documents represents another step towards incorporating into our company’s portfolio a unit with a tradition exceeding 250 years. The know-how and experience of UCMR, a company that has contributed over time to the equipment of approximately 80% of Hidroelectrica’s power plants, will open new opportunities through integration with Hidroserv. We aim to create a top-performing company capable of providing services not only for the parent company but also to be genuinely competitive in national and international markets. We believe in potential, sustainable growth, and we act as a team,” stated Karoly Borbely, President of Hidroelectrica’s Directorate.

The transaction is set to be completed upon fulfilling a series of suspensive conditions, including its approval by shareholders at the Hidroelectrica General Shareholders’ Meeting. The total price for the transfer of business ownership and all assets within the transaction scope is 67,879,000 RON.

UCM Reşiţa is located in the city of Reşiţa in southwestern Romania, along the Bârzava River valley. The plant began its activity on July 3, 1771, with the commissioning of two furnaces and a forge. Today’s presentation is the result of extensive experience in the field of machine construction, focusing on energy equipment, metallurgy, Diesel engines, and electric machines. UCM is the largest enterprise in Reşiţa, Caraș-Severin county, and the western part of the country.

Hidroelectrica is the largest green energy producer in Romania, providing essential technological services for the National Energy System. As a crucial player in a strategic sector with implications for national security, the company operates 187 hydroelectric plants with a capacity of 6.3 GW and, additionally, owns a wind park in Crucea with an installed capacity of 108 MW.
